Gotorex Seller Agreement

This Seller Agreement governs the relationship between Gotorex and any individual or business that lists, markets or sells products through www.gotorex.com.
Gotorex operates an international marketplace from South Africa. Sellers may be located in South Africa or other countries and may sell to customers internationally.

By registering as a seller or listing products on Gotorex, you agree to this Agreement, the Gotorex Terms & Conditions, Seller Policies and all applicable laws.
1. Seller Eligibility & Verification
Sellers must provide accurate and complete information requested by Gotorex, which may include:
- Legal name or registered business name;
- Contact information;
- Business and registration information where applicable;
- Identity or verification documents;
- Tax information where legally required;
- Payment and payout information; and
- Information necessary for product and regulatory compliance.
Gotorex may verify, re-verify, suspend or restrict seller accounts where reasonably necessary for fraud prevention, marketplace safety, legal compliance or other legitimate purposes.
Sellers must keep their information accurate and up to date.
2. Seller Responsibilities
Sellers are responsible for ensuring that their products and activities comply with all laws applicable to the products, seller, destination and transaction.
Sellers must:
- Sell only lawful products;
- Provide accurate product descriptions, images, specifications and pricing;
- Ensure products are genuine and legally supplied;
- Comply with applicable product-safety requirements;
- Maintain required licences, registrations and certifications;
- Comply with consumer-protection requirements;
- Honour applicable warranties and guarantees;
- Comply with intellectual-property laws;
- Provide accurate shipping and delivery information; and
- Cooperate with lawful investigations and customer complaints.
Sellers must not make misleading, deceptive or unsupported claims about their products.
3. Prohibited & Restricted Products
Sellers may not list products that are prohibited by Gotorex policy or applicable law.
Gotorex may remove, restrict or block listings where products appear illegal, unsafe, counterfeit, recalled, infringing, misleading or otherwise unsuitable for the marketplace.
Sellers remain responsible for ensuring that products may legally be sold and shipped to the intended destination.
4. Product Listings
All listing information must be accurate and current.
Sellers must accurately disclose, where applicable:
- Product identity and specifications;
- Price;
- Condition;
- Quantity;
- Available variations;
- Seller information;
- Shipping costs;
- Estimated dispatch and delivery periods;
- Applicable restrictions; and
- Required warnings or safety information.
Sellers must promptly correct inaccurate information.
5. Pricing & Payments
Sellers must provide accurate prices and must not manipulate pricing, fees, discounts or promotions.
Gotorex may collect payments from customers and remit amounts due to sellers after applicable fees, adjustments, refunds, chargebacks, reserves or other lawful deductions.
Payout timing may vary according to Gotorex's payment procedures, seller status, transaction risk and applicable requirements.
Gotorex may delay or hold payouts where reasonably necessary to investigate fraud, disputes, chargebacks, compliance issues or other legitimate concerns.
6. Fees
Sellers agree to pay the applicable Gotorex marketplace, transaction, payment, advertising or other disclosed fees.
Applicable fees will be communicated through the seller platform or applicable seller terms.
Gotorex may update fees with appropriate notice where required by law or contract.
7. Shipping & Delivery
Sellers are responsible for fulfilling orders accurately and within the applicable stated processing period.
Shipping times may differ between sellers, products, warehouses and destinations.
Some products may be delivered as quickly as 1–3 business days in certain countries, including the United States, while other products may take substantially longer.
Sellers must provide realistic delivery estimates and promptly update Gotorex regarding significant fulfilment problems.
Sellers are responsible for complying with applicable customs, import, export, carrier and product-shipping requirements.
8. Returns, Cancellations & Refunds
Customers must submit return, cancellation or refund requests through the applicable Gotorex process, including by contacting:
Customers may be required to provide order information, photographs, video or other reasonable evidence, particularly for damaged, defective or incorrect products.
Gotorex may investigate claims with the seller, supplier, carrier or other relevant party.
Sellers must cooperate with Gotorex investigations and provide requested information or evidence promptly.
Gotorex may determine or facilitate the applicable resolution where permitted by law, including a return, replacement, refund, price adjustment or other remedy.
Submitting a claim does not automatically establish eligibility for a refund or return.
Products may be inspected where appropriate. The time required to complete an inspection and resolution may vary according to the product, seller, shipping circumstances, evidence and complexity of the claim.
However, neither Gotorex nor a seller may use this process to remove or delay a customer's mandatory statutory rights or legally required deadlines.
9. Consumer Protection
Sellers must comply with mandatory consumer laws applicable to transactions involving their products.
Nothing in this Agreement permits a seller to exclude or restrict a consumer right that cannot legally be excluded or restricted.
Where a customer's jurisdiction provides mandatory rights concerning withdrawal, cancellation, defective goods, refunds, warranties, guarantees, delivery or other consumer protections, those requirements prevail.
10. Product Safety & Recalls
Sellers must immediately notify Gotorex of known or suspected:
- Product-safety risks;
- Recalls;
- Regulatory actions;
- Serious defects;
- Counterfeit concerns; or
- Other circumstances that could affect customer safety or legal compliance.
Gotorex may suspend sales, remove listings, contact affected customers or take other appropriate action where necessary.
Sellers must cooperate with recalls and corrective actions.
11. Intellectual Property
Sellers must have the legal right to sell and advertise their products and use all submitted images, descriptions, trademarks and other content.
Sellers must not list counterfeit, pirated or infringing products or content.
Gotorex may remove allegedly infringing content and restrict seller accounts where appropriate.
Sellers agree to cooperate with intellectual-property complaints and investigations.
12. Taxes & Customs
Sellers are responsible for determining and meeting their applicable tax, VAT, GST, customs, import, export and reporting obligations.
Where Gotorex is legally required to collect, report or withhold taxes, sellers agree to provide information reasonably required for that purpose.
13. International Trade Compliance
Sellers must comply with applicable:
- Import and export laws;
- Customs requirements;
- Sanctions;
- Trade restrictions;
- Product restrictions;
- Destination-country requirements; and
- Other applicable international trade laws.
Sellers must not knowingly use Gotorex to conduct prohibited transactions.
14. Seller Content & Licence
Sellers retain ownership of content they lawfully own.
By submitting product information, images, videos, trademarks and other content to Gotorex, sellers grant Gotorex a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, adapt and use that content as reasonably necessary to operate, market and promote the marketplace.
Sellers confirm that they have the rights necessary to grant this licence.
15. Customer Information
Sellers may receive customer information necessary to fulfil orders and provide customer service.
Sellers must:
- Use customer information only for legitimate transaction purposes;
- Protect customer information;
- Follow applicable privacy and data-protection laws;
- Not sell or misuse customer information; and
- Not use customer information for unauthorised marketing.
Customer information must be deleted or securely handled when it is no longer legally or operationally required.
16. Reviews & Ratings
Sellers must not:
- Create fake reviews;
- Manipulate ratings;
- Purchase fraudulent reviews;
- Threaten customers for negative reviews; or
- Offer prohibited incentives for positive reviews.
Gotorex may investigate and remove fraudulent or unlawful reviews in accordance with applicable law and policy.
17. Seller Account Enforcement
Gotorex may warn, restrict, suspend or terminate seller accounts where permitted by law, including for:
- Fraud;
- Repeated customer complaints;
- Unsafe products;
- Counterfeit products;
- Intellectual-property violations;
- Misleading listings;
- Repeated shipping failures;
- Policy violations;
- Non-payment of amounts due;
- Regulatory concerns; or
- Other serious marketplace risks.
Where required by applicable law, Gotorex will provide appropriate notice, explanation or appeal procedures.
18. Seller Indemnification
To the extent permitted by law, sellers are responsible for losses, claims, penalties, costs or liabilities arising from their products, listings, conduct or breach of this Agreement, including third-party claims relating to unlawful products, intellectual-property infringement or regulatory non-compliance.
This provision does not remove any liability that cannot legally be transferred or excluded.
19. Disputes
Sellers should first contact admin@gotorex.com regarding marketplace disputes.
Gotorex may review transaction records, customer communications, seller information, shipping information and other relevant evidence.
Where applicable, Gotorex may determine the marketplace-level resolution in accordance with its policies and applicable law.
Mandatory legal rights and remedies remain unaffected.
20. Changes to the Agreement
Gotorex may update this Agreement as its marketplace, services or legal requirements change.
Material changes will be communicated where required by applicable law or contract.
Continued use of the seller platform following an effective change constitutes acceptance where legally permitted.
21. Governing Law
This Agreement will be governed by the laws applicable to the relationship between Gotorex and the seller, subject to mandatory laws that cannot legally be excluded.
Nothing in this Agreement prevents a party from exercising mandatory rights or remedies available under applicable law.
